Terms of Service

FirmSource provides software for real estate acquisitions and investor operations, including deal intake, screening, underwriting, investment memos, capital raising, distributions, and investor reporting. Subject to these Terms and your applicable order or plan, we grant you a limited, non-exclusive, non-transferable right to access and use the platform for your internal business purposes.

You must provide accurate account information and are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be a business user and at least 18 years old. Notify us promptly of any unauthorized use.

As between you and FirmSource, you retain all rights to the deal documents, financials, investor records, and other content you submit (“Customer Data”). You grant FirmSource a limited license to host, process, and use Customer Data solely to provide, secure, and improve the platform for you. You are responsible for having the necessary rights to submit Customer Data and for its accuracy.

You agree not to misuse the platform. You will not:

• Access the platform without authorization or attempt to breach security controls.
• Upload unlawful content or content you do not have the right to submit.
• Reverse engineer, resell, or use the platform to build a competing product.
• Interfere with or disrupt the integrity or performance of the platform.

FirmSource is a software tool. Its outputs — including screens, underwriting models, IC memos, projections, and any figures it computes — are informational and intended to support your own analysis. They are not investment, legal, accounting, or tax advice, and are not a recommendation to buy, sell, or hold any asset. You are solely responsible for your investment and business decisions and should obtain independent professional advice.

Access to paid packages is subject to the fees and terms in your order or plan. Unless otherwise stated, fees are billed in advance and are non-refundable except as required by law. We may update pricing on a prospective basis.

Each party may access confidential information of the other in connection with the platform. Each party agrees to protect the other's confidential information and to use it only as needed to perform under these Terms.

FirmSource and its licensors own all rights in the platform, software, and related materials, excluding Customer Data. No rights are granted except as expressly set out in these Terms.

The platform is provided “as is” and “as available.” To the maximum extent permitted by law, FirmSource disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and does not warrant that the platform will be uninterrupted, error-free, or that outputs will be accurate or complete.

To the maximum extent permitted by law, FirmSource will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to these Terms will not exceed the amounts you paid to FirmSource in the twelve months before the event giving rise to the claim.

You agree to indemnify and hold FirmSource harmless from claims arising out of your Customer Data, your use of the platform, or your breach of these Terms, except to the extent caused by FirmSource.

These Terms apply while you use the platform. Either party may terminate as set out in your order or plan, or if the other materially breaches these Terms. On termination, your right to access the platform ends, and we will make Customer Data available for export for a limited period as described in your agreement, after which it may be deleted.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Continued use of the platform after changes take effect constitutes acceptance.

These Terms are governed by the laws of the jurisdiction in which FirmSource is established, without regard to conflict-of-laws principles. [Jurisdiction to be finalized with counsel.]
